Who we are.
Bahele Studio (Bahele LLC, in formation under the laws of Florida) is a small studio based in Miami, FL. When this document says we, it means us. When it says you, it means the business that hires us.
What we provide.
We design, build, and operate bilingual automation playbooks across four lines of work: Reply, Operate, Grow, and Build. Each engagement begins with a written statement of work that names the deliverables, the price, and the operate fee.
Payment terms.
- i.Setup fees are invoiced 50% on signing, 50% on launch. Net 7.
- ii.Monthly operate fees are invoiced on the first business day of each month. Net 7.
- iii.Build engagements are invoiced in three or four installments tied to milestones in the SOW.
- iv.Late invoices accrue interest at 1% per month after thirty days. We would much rather just be paid.
Cancellation.
Operate engagements are month-to-month. Either party may cancel with thirty days’ written notice. We will continue to operate the playbook through the notice period and hand over credentials at the end. There are no early-termination fees.
Intellectual property.
Code, copy, designs, and configurations we create for you are yours, transferred on full payment of the relevant invoice. We retain the right to reuse general patterns, libraries, and approaches in future client work — but never your specific data, customer lists, or branded assets.
Confidentiality.
Your customer data, financial information, internal documents, and conversations stay confidential indefinitely. We do not publish case studies that name you without explicit written permission, and even then we redact anything sensitive.
Warranties & disclaimers.
We warrant that we will perform our services with reasonable care and skill, in line with the SOW. The deliverables are provided as is; we do not guarantee specific business outcomes (lead volume, revenue, response time) because too many variables outside our control affect them. We will, however, work in good faith to fix any defect we created within thirty days of launch at no cost.
Liability.
To the maximum extent permitted by law, our total liability under any engagement is limited to the fees you have paid us in the previous three months. Neither party is liable for indirect, consequential, or punitive damages.
Governing law.
This agreement is governed by the laws of the State of Florida. Any dispute will be heard in the courts of Miami-Dade County. We will try mediation first.
